Terms of Service
for the use of Etra Atlas. As of 20 October 2026.
This English version is a translation for convenience. Only the German version (Allgemeine Geschäftsbedingungen) is legally binding.
1. Scope
- These Terms of Service apply to all contracts between ETRA GmbH, Neben dem Mühlweg 28, 65474 Bischofsheim, Germany (“Etra”), and its customers for the use of Etra Atlas and its apps.
- Etra Atlas is offered exclusively to businesses within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. Etra does not enter into contracts with consumers.
- Deviating or additional terms of the customer only apply if Etra expressly agrees to them in text form.
2. Etra’s services
- Etra provides Etra Atlas to the customer as software over the internet (software as a service): a separate portal at its own address, such as your-company.etrabase.com. The scope follows from the booked base package, the booked extras (additional users, app add-on, additional storage), the service description at etrabase.com/en/atlas and the offer.
- Etra operates Etra Atlas in a data centre in Germany. Every portal has its own databases and its own file storage.
- The AI functions (text recognition, extraction, AI search, Atlas AI, Paragraf) run on Etra’s servers. Etra does not pass the customer’s documents, questions or answers to any AI provider for this. Users who dictate use their own browser’s speech recognition.
- The apps (for example for iPhone and iPad) are ways of accessing the customer’s portal. If they are obtained through an app store, that store’s terms also apply.
- Etra continuously develops Etra Atlas and installs new versions automatically. Etra may change functions as long as this does not materially reduce the agreed scope of services. Functions marked as being in testing are provided without any commitment to scope or availability.
- Etra regularly backs up the portals. Support is available on working days by e-mail to info@etrabase.com.
- Etra aims for high availability. Etra announces planned maintenance in advance and schedules it outside peak hours where possible. A specific level of availability is only owed if agreed separately.
3. Conclusion of the contract and set-up
- The content of the website is not a binding offer. The customer requests access and Etra makes an offer. The contract is concluded when the customer accepts the offer in text form, at the latest when the access data is handed over.
- Etra sets up the portal as agreed with the customer: companies, folders, users, permissions and the details Etra Atlas reads from the documents. The customer usually receives the access data within two working days after the contract has been concluded and the required information is available.
4. Prices and payment
- The prices in the offer apply, otherwise the price list at etrabase.com/en/atlas at the time the contract is concluded. All prices are monthly prices plus statutory VAT.
- Fees are payable monthly in advance, for the first time from the handover of the access data. For part months, Etra charges the share by days.
- The customer pays by SEPA direct debit or card and receives invoices electronically.
- The customer can book extras at any time; they are charged from activation.
- Etra may change the prices by giving at least six weeks’ notice in text form, effective at the start of a calendar month. The customer may terminate the contract up to the date the change takes effect.
- If the customer is in default of payment, Etra may block access after a reminder and an announcement with 14 days’ notice. The customer’s data is retained.
5. Term and termination
- The contract runs for an indefinite period. The customer may terminate it, and any extra, at any time with effect from the end of the current calendar month. Etra may terminate with three months’ notice to the end of a calendar month.
- Both parties’ right to terminate for good cause remains unaffected.
- Notice of termination must be given in text form; an e-mail to info@etrabase.com is sufficient.
6. Customer obligations
- The customer creates user accounts only for specific persons, keeps access data and second factors secret and informs Etra without delay if it suspects misuse.
- The customer is responsible for the content it stores in Etra Atlas. It does not store unlawful content and holds the necessary rights to its content.
- The customer uses Etra Atlas only for its own purposes and for the companies set up in its portal. It does not overload the systems, does not circumvent security measures and does not give third parties access.
- The customer is responsible for processing its employees’ data lawfully, in particular for time tracking and dispatch, and for informing them about it.
7. Automatic results
Etra Atlas reads documents automatically and makes suggestions: filing, extracted details, answers from Atlas AI and drafts in Paragraf. These results may be wrong and do not replace a review. The customer checks them before using them, in particular before payments, for deadlines and for contracts.
8. Data protection and confidentiality
- Where Etra processes personal data on behalf of the customer, the parties conclude a data processing agreement under Art. 28 GDPR. In the event of a conflict, it takes precedence over these terms.
- The customer’s data belongs to the customer. Etra only uses it to provide the services to that customer.
- Both parties keep the other party’s confidential information confidential, also after the end of the contract.
9. Defects
- The customer reports defects without delay with a comprehensible description. Etra remedies defects within a reasonable period.
- Strict liability for defects that already existed when the contract was concluded (Section 536a (1), first alternative, BGB) is excluded.
10. Liability
- Etra is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee given.
- In the case of slight negligence, Etra is only liable for breach of an essential contractual obligation, meaning an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment the customer may regularly rely. Liability is then limited to the foreseeable damage typical for the contract.
- These limitations also apply in favour of Etra’s employees and agents.
11. End of the contract
After the end of the contract, Etra provides the customer with an export of its documents and data on request. The customer can request it up to 30 days after the end of the contract. Etra then deletes the customer’s data unless there is a statutory obligation to retain it.
12. Changes to these terms
Etra may change these terms with effect for the future if there is an objective reason, such as a change in the law or new functions. Etra announces changes in text form at least six weeks before they take effect. If the customer does not object by then, they are deemed accepted; Etra points this out in the announcement. If the customer objects, either party may terminate the contract with effect from the date the change takes effect.
13. Final provisions
- The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
- If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from the contract is Darmstadt, Germany.
- If any provision of these terms is invalid, the remaining provisions remain valid.
